GenX Partner Portal – Terms of Access

These Terms of Access ("Terms") govern access to and use of the GenX Partner Portal (the "Portal"), operated by Avosec Distribution ("Avosec", "we", "us", "our").

By accessing or using the Portal, you ("Partner", "you", "your") agree to be bound by these Terms.

1. Acceptance of Terms

If you do not agree to these Terms, you must not access or use the Portal. Acceptance of these Terms is mandatory for all license transactions. If you enter the Portal, it is deemed that you accept the terms set out here in their entirety.

2. Marketing Rights

You expressly agree that Avosec may:

• Market products and services to you
• Contact you via email, telephone, and other channels
• Promote vendor offers and partner opportunities

3. Data Sharing – Core Condition of Access

As a fundamental condition of access to the Portal, you agree that:

Avosec may collect, use, process, and share:

• Your company information and contact details
• Your employee and representative contact information
• Your customer (end-user) data submitted via the Portal

This data may be shared with vendors for:

• Licence provisioning and delivery
• Vendor partner programme compliance
• Account registration and tracking
• Technical support and service delivery
• Renewals and subscription management

4. Mandatory Nature of Data Sharing

You acknowledge that:

• Vendor programmes require the sharing of partner and customer data
• Such data sharing is a mandatory requirement for licence fulfilment
• Without such data, licences cannot be issued or maintained

5. Lawful Basis (GDPR)

Processing is based on:

• Contractual necessity (Article 6(1)(b))
• Legal obligations (Article 6(1)(c))
• Legitimate interests (Article 6(1)(f))

You confirm you have a lawful basis to share all customer data submitted.

6. Vendor Carve-Out Protection

Avosec will only share data that is necessary and proportionate. Avosec reserves the right to refuse excessive or non-compliant vendor data requests.

7. Licence Orders and Cancellation

Failure to accept these Terms or refusal to allow required data sharing will result in:

• Immediate cancellation of any licence order
• Revocation or suspension of issued licences where applicable

No licence can be fulfilled without full acceptance of these Terms.

8. Vendor Dispute Override

Avosec reserves the right to override or refuse vendor requirements that:

• Conflict with GDPR or applicable law
• Are excessive or disproportionate

Orders may be delayed or cancelled where necessary.

9. Compliance

You must comply with all applicable data protection laws and ensure lawful data sharing.

10. Confidentiality

All Portal content is confidential.

11. Limitation of Liability

Avosec is not liable for indirect or vendor-related losses.

12. Termination

Access may be terminated for breach or non-compliance.

13. Governing Law

England and Wales.

14. Click-Wrap Acceptance

By clicking on the portal GenX, it is deemed that you agree to:

• Accept these Terms in full
• Authorise Avosec to process and share data as described
• Confirm authority to bind your organisation
